Terms of Service

These terms are a contract between you and Khard Hridaya Inc ("we", "us"), a Canadian federal corporation based in Ontario, Canada. Questions: hridaya.8888@gmail.com.

These terms cover khardhridaya.com, the Hridaya app that opens this site, the carpet auctions, the pendant preorder, commissions, and the breathing practice. The app loads this website. Acceptance here is acceptance for the app. Version 2026-10-15.

By tapping "I agree", or by registering to bid, placing a bid, or paying, you agree to these Terms of Service and the Privacy Policy. If you do not agree, do not use the site or the app.

The site and the app

The site and the app are provided as-is and as-available. We do not promise that they will be up, uninterrupted, secure, or free of errors. We do not promise that any text, image, price, date, clock, or bid figure is accurate or current. We may change, suspend, or remove any part of the site or the app at any time, without notice.

The app is a window onto this site. It is not pendant firmware and it is not a second product for sale.

Wellness only. Not a medical device

The pendant, the carpets, the practice, the site, and the app are for beauty, presence, and wellness only. They are not medical devices. They are not medical advice, diagnosis, treatment, cure, or prevention of any condition. Do not use them in place of a licensed clinician. If you have a health concern, speak with a qualified professional.

Breathing practice

The breathing practice is optional. You assume all risk of using it, including dizziness, discomfort, fainting, and injury. You are responsible for where you practice and for stopping if you feel unwell. We are not responsible for what happens while you practice.

Pendant preorder

The Hridaya pendant preorder price is $149 USD, charged at checkout through Stripe. It is for beauty and presence. It is not a medical device. Shipping to Canada and the United States is described on the preorder page. Shipping cost is extra unless that page says it is included. Any ship date, delivery window, finish, or later price shown on the site is an estimate only. We do not guarantee a ship date, a delivery date, a finish, a quantity, or a later price.

If we cancel a preorder, or we cannot supply the pendant, your exclusive remedy is a refund of the amount you paid us for that preorder. We do not owe a replacement, expedited shipping, lost profits, or any other remedy for a preorder.

Auctions

Hand-knotted carpets are offered by auction on the terms below. The opening bid is $3,000 USD. Each later bid must rise by at least $100 USD. Registration requires a $500 USD deposit, paid through Stripe before you bid.

• 003 Padma closes at 12:00 AM ET, January 14, 2027.
• 005 Save Soil is not for sale and is not in the auction.

A bid is binding. You may not withdraw a bid because you changed your mind. We may refuse a bid, cancel a bid, void an auction, extend or shorten an auction, correct an error, withdraw a lot, or decide not to sell. We reserve all rights in the auction, including the right to set a reserve and the right not to sell if a reserve is not met. We do not promise that any lot has a reserve, or that it does not.

The $500 registration deposit is refunded the same day the auction ends to a bidder who is not the winner. The winner's $500 applies toward the winning bid. If the winner does not pay the balance, the winner is in default and forfeits the $500. After the auction ends, the winner has 48 hours to settle. We charge 100% of the winning bid before the carpet ships. Shipping is extra and is quoted before you pay. We do not guarantee a ship date for a carpet.

Close times are Eastern Time. We do not promise that a countdown, a cached page, or a clock on your device matches the official close. Our record of the close and of the bids controls.

Bidding uses an email sign-in link. The link is for you. It expires. We may refuse a sign-in, expire a link, or close bidding access at any time.

Commissions

A commission form or an interest note is not a sale. A sale exists only if we accept it and the payment clears. Any date we give for a commission is an estimate only. If we cancel a commission, or we cannot supply it, your exclusive remedy is a refund of the amount you paid us for that commission.

Payments

Payments run through Stripe. We do not store your full card number. Stripe's terms also apply to the payment. A declined, reversed, or charged-back payment can cancel the order, the registration, or the bid. Prices are in USD unless a page says otherwise. Taxes may be extra. We do not ship until payment has cleared.

Accounts

We may refuse, suspend, or end an account, a sign-in, or access to the site or the app at our discretion, with or without notice, and without liability. You are responsible for the email account that receives sign-in links and deletion codes.

Your content

If you send a name, a note, a design idea, a message, a film, or any other content, you grant Khard Hridaya Inc a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, host, store, reproduce, modify, display, and make carpets and other works from that content, in connection with the business. You state that you have the rights to grant this license and that the content does not infringe anyone else's rights.

Intellectual property

The site, the app, the names, the marks, the text, the images, the carpet designs, and the pendant design are owned by Khard Hridaya Inc or its licensors. We give you a limited, revocable, non-transferable license to view the site and the app for your own personal use. You may not copy, scrape, frame, or use our designs, images, or marks for your own products or advertising.

No warranty

To the maximum extent permitted by law, the site, the app, the pendant, the carpets, the auctions, and the practice are provided as-is and as-available, with all faults. We disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment, and any warranty arising from dealing or usage of trade. We do not warrant that the site or the app will be available, secure, or error-free, or that any description, price, date, or bid state is accurate.

Limit of liability

To the maximum extent permitted by law, Khard Hridaya Inc and its directors, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption, even if we were told that such damages were possible, and even if a remedy fails of its essential purpose.

To the maximum extent permitted by law, our total liability for all claims arising out of these terms, the site, the app, a product, an auction, or the practice is limited to the amount you paid us in the 12 months before the claim. If you paid us nothing in those 12 months, the limit is $100 USD.

Indemnity

You will indemnify and hold harmless Khard Hridaya Inc and its directors, officers, employees, and agents from any claim, loss, damage, liability, and expense (including reasonable legal fees) arising out of your use of the site or the app, your bids, your content, your practice, your breach of these terms, or your violation of any law or of any other person's rights.

Rights the law keeps

Nothing in these terms excludes, limits, or changes any right or remedy that cannot be excluded, limited, or changed under applicable consumer protection law.

Changes

We may change these terms by posting a new version on this page and updating the date above. The gate asks you to accept the new version before you continue. If you do not accept, stop using the site and the app. A purchase that is already complete stays on the terms that applied to that purchase, except where the law requires a change to apply.

Governing law and disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules.

To the extent permitted by law, you and Khard Hridaya Inc agree that any dispute arising out of these terms, the site, the app, a product, an auction, or the practice will be resolved by binding individual arbitration in Ontario, and not in a court, except that either party may go to court for an injunction to stop misuse of intellectual property. You waive any right to bring or join a class action, a class arbitration, or a representative proceeding, to the extent permitted by law.

If a court holds that this arbitration agreement or this class waiver cannot be enforced for a particular claim, that claim may be brought only in the courts of the Province of Ontario, and you consent to the exclusive jurisdiction of those courts.

Severability

If a court or an arbitrator holds that a part of these terms is unenforceable, the rest stays in effect. That part is narrowed to the minimum extent required to make it enforceable, or removed if it cannot be narrowed.

Entire agreement

These terms and the Privacy Policy are the entire agreement between you and Khard Hridaya Inc about the site, the app, and the products and auctions described here. They replace earlier statements about those subjects. A price you pay at checkout is the price for that payment. If a page conflicts with these terms, these terms control.

No waiver

If we do not enforce a term, that is not a waiver. A waiver must be in writing to bind us. A waiver of one breach is not a waiver of any later breach.

Force majeure

We are not liable for a delay or a failure caused by something beyond our reasonable control, including a supplier, a loom, a carrier, a payment processor, hosting, a law, labour action, fire, flood, or an internet failure. Ship dates are estimates only.
